General Terms and Conditions – Spapilot Subscription & Service Pack

Valid within the European Union

Parties:

Zavepower Innovative Technology AB, Reg. No. [xxxxxx-xxxx], Ribbings Väg 17, 610 31 Vikbolandet, Sweden

(“Zavepower”, “the Supplier”)

and

the Customer (“Subscriber” or “Buyer”).

1. Scope of Agreement

These terms govern the subscription for Spapilot, including both:

  1. The initial 24-month subscription period (“Initial Term”), and

  2. The optional Service Pack (“Extended Term”) that may continue thereafter.

Under this agreement, the Customer receives:

  • The Spapilot hardware device

  • Access to the Spapilot mobile app and cloud platform

  • Software updates and feature improvements

  • Technical and remote support

  • Warranty coverage for the device while the subscription or Service Pack remains active.

2. Initial Subscription (24-Month Term)

  • The initial subscription period is 24 months, billed at €19.95 per month (VAT included).

  • The Customer commits to a fixed 24-month term which cannot be terminated early.

  • After 24 successful monthly payments, ownership of the Spapilot hardware is transferred to the Customer.

3. Service Pack (After 24 Months)

  • After the initial 24-month term, the Customer may choose to continue with a Service Pack at €9.95 per month (VAT included).

  • The Service Pack includes:

    • Extended warranty coverage

    • Ongoing software and security updates

    • Remote diagnostics and priority support via Spapilot Connect

    • Access to new features and improvements released during the term.

  • The Service Pack is a rolling monthly subscription that can be cancelled at any time by the Customer.

  • Once cancelled, warranty coverage, updates, and remote support will be suspended.

4. Payment Terms

  • Payments are collected automatically each month in advance via the selected payment method (Stripe, card, or equivalent).

  • If payment fails or remains unpaid for 10 days, Zavepower may:

    • Suspend the Customer’s access to remote functions and support services, and

    • Issue a payment reminder with a statutory late fee.

  • If payment remains unpaid for 30 days, Zavepower may:

    • Terminate the subscription, and

    • Issue a final invoice for the remaining balance of the 24-month term.

      The final invoice is payable within 10 days of issue.

5. Customer Responsibilities

The Customer agrees to:

  • Maintain valid and updated payment details throughout the term.

  • Use the Spapilot device and platform responsibly and in accordance with Zavepower’s usage guidelines.

  • Keep login credentials secure and confidential.

6. Supplier Rights

Zavepower reserves the right to:

  • Perform temporary maintenance, updates, or security improvements without liability for downtime.

  • Suspend access to the service in the event of misuse, breach of contract, or unpaid fees.

  • Modify software functionality to ensure compatibility and performance, without altering the core purpose of the product.

7. Warranty and Service Continuity

  • The Spapilot device is covered by warranty for as long as the subscription or Service Pack remains active.

  • The warranty includes defect repair, replacement, or equivalent support determined by Zavepower.

  • The warranty does not cover damage caused by misuse, improper installation, or unauthorized modification.

  • If the Service Pack is cancelled, warranty coverage and remote diagnostics are suspended.

8. Right of Withdrawal (EU Consumers)

Private consumers within the EU have a 14-day right of withdrawal in accordance with Directive 2011/83/EU.

The right of withdrawal does not apply once:

  • The subscription has been activated and the service has commenced, or

  • The hardware has been installed or used.

Returns of unused hardware are subject to return shipping costs borne by the Customer.

9. Data Protection (GDPR)

Zavepower processes personal data in accordance with the EU General Data Protection Regulation (GDPR).

Data is used exclusively for subscription management, remote diagnostics, support services, and billing.

10. Governing Law and Disputes

This agreement is governed by Swedish law and applicable EU regulations.

Disputes shall first be resolved amicably between the parties.

If unresolved, the Customer may refer the matter to the Swedish National Board for Consumer Disputes (ARN)

or a Swedish court of law, with Norrköping District Court as the first instance.

By completing the purchase, the Customer confirms acceptance of these terms and acknowledges that:

  • The initial subscription is binding for 24 months at €19.95/month.

  • After 24 months, the Customer may continue with the optional Service Pack at €9.95/month.

  • Warranty, updates, and remote support remain valid only while the subscription or Service Pack is active.
