Terms & Conditions – Zavepower Innovative Technology AB

Acceptance of Terms and Data Usage
By creating an account, registering a product, or using any Zavepower service, you accept these Terms & Conditions and consent to the collection and use of anonymized usage data for analytics and product improvement purposes, as detailed herein.
 

Customer types – consumers vs business customers

These Terms & Conditions primarily address end-consumers. However, Zavepower may also sell products directly to business customers (B2B) via the webshop or by invoice.

“Consumer” means a natural person acting for purposes outside their trade, business, craft, or profession.

“Business customer” means any legal entity or natural person acting for purposes relating to their trade, business, craft, or profession.

For consumers, mandatory consumer protection laws in the customer’s country of residence apply in addition to these Terms & Conditions. For business customers, Section [B2B section number] below applies and replaces or limits certain rights, including complaint periods and resale rights.

These terms apply to all orders placed within the European Union.

Definitions

  • Direct purchase: a purchase made directly from the official Zavepower webshop at www.zavepower.com.
  • Reseller purchase: a purchase made through an authorized Zavepower reseller, distributor, or retailer.

2. Products and pricing

All prices are stated in [EUR/SEK], including VAT where applicable.
Shipping costs, customs duties (if applicable), and additional fees are calculated and shown separately at checkout.
We reserve the right to change product prices, descriptions, or availability at any time without prior notice.

3. Orders and acceptance

Place your order by selecting products and confirming your details at checkout.
Once submitted, you will receive an order confirmation via email with all details.
The purchase agreement becomes binding once we have accepted and confirmed your order.
We reserve the right to decline an order due to stock unavailability, pricing errors, or suspected fraudulent activity.

4. Payment

We accept the following payment methods:
  • Credit/debit card (Visa, Mastercard)
  • Klarna (where available)
All transactions are processed securely. Zavepower does not store payment details.

5. Shipping and delivery

We ship to all countries within the European Union.
Delivery times vary depending on destination: typically 2–10 business days.
Shipping costs are displayed at checkout. Free shipping may apply above certain order values.
If a product is delayed, you will be informed promptly.
Customs duties: For deliveries outside the EU, any applicable duties or taxes are the customer’s responsibility.
 

6. Right of withdrawal (14-day return policy)

In accordance with EU consumer law, you have the right to withdraw from your purchase within 14 days of receiving your goods.
How to withdraw:
  • Notify the seller/retailer where you purchased the product (Zavepower webshop or an authorized reseller).
  • Return the product unused, in its original condition and packaging.
  • Refunds will be processed within 14 days after the returned product has been received (or proof of shipment has been provided).
Exceptions to withdrawal:
  • Custom-made or clearly personalized products
  • Products that cannot be returned for hygiene/health reasons once unsealed
  • Used products outside the withdrawal period
For withdrawals (change of mind), the customer is responsible for return shipping costs.
 

7. Legal guarantee and complaints (Reklamation)

All products sold within the EU are covered by the statutory legal guarantee:
  • Minimum 2 years in all EU countries
  • 3 years in Sweden
This means you may file a complaint if the product does not work as promised or has a defect.
Direct purchases:
If you purchased your product directly from the Zavepower webshop, please contact us at support@zavepower.com with your order details and description of the issue.
Reseller purchases:
If you purchased your product from an authorized Zavepower reseller, your contract is with that reseller.
All complaints, returns, or warranty claims must be directed to the reseller in accordance with applicable consumer law.
The reseller is responsible for handling your claim and will coordinate with Zavepower if necessary.
Resolution of complaints:
If a product is found defective, you may be entitled to:
  • Repair
  • Replacement
  • Price reduction
  • Refund
Refunds (if granted) will be processed within 14 days of receipt of the returned product (or proof of return). Refunds will be made using the same payment method used for the purchase unless otherwise agreed.
Voluntary guarantee:
In addition to your legal rights, Zavepower offers a 2-year product guarantee covering manufacturing and material defects. This does not cover misuse, accidental damage, or normal wear and tear.
 

8. Customer responsibility

You agree to provide accurate and complete information when placing your order.
You are responsible for maintaining your account information and keeping your login details secure.
 

9. Product installation, use, and user monitoring responsibility

The customer is solely responsible for correct installation and use of the product, in accordance with the provided instructions and manuals.
Any work involving electrical components must be performed by a qualified professional in accordance with local regulations.
The user is responsible for configuring desired temperature, schedules, and price limits. Zavepower cannot guarantee specific energy savings or comfort levels, as these depend on user settings, local electricity prices, and hardware.
The user is solely responsible for regularly monitoring the status and operation of their spa and Spapilot device.
Zavepower is not liable for any direct or indirect damages, losses, or costs resulting from Spapilot not functioning as intended, including (but not limited to) increased energy costs, water damage, freezing, overheating, missed heating cycles, or inability to use the spa at a desired time.
It is the user’s responsibility to ensure that critical functions (such as anti-freeze, minimum temperature, or other safety features) are set appropriately and monitored, especially in cases where environmental or local conditions pose a risk.
Zavepower does not guarantee uninterrupted or error-free operation of Spapilot, and is not responsible for any consequential damages or losses that may arise from service interruptions, software errors, user misconfiguration, internet outages, or third-party system changes.
The user is expected to check the app and device status regularly and take appropriate action if any warnings, errors, or abnormal behaviour are detected.
 

10. Third-party products and compatibility

Spapilot is an independent product and is not affiliated with or endorsed by third-party manufacturers (e.g., Balboa, Gecko).
Use of Spapilot does not alter or replace the original firmware or safety logic of third-party devices.
All trademarks remain the property of their respective owners.
Zavepower is not responsible for any changes in third-party products, firmware, or warranties. Compatibility may change if third-party manufacturers update their products.
 

11. Cloud services, data, and availability

Spapilot relies on cloud services and an active internet connection for full functionality.
Zavepower takes reasonable measures to ensure service availability but is not liable for interruptions, delays, or data loss caused by server outages, internet disruptions, or events beyond our control (force majeure).
Certain features may be unavailable or limited during periods of server maintenance or connectivity issues.
 

12. Software updates and changes

Zavepower reserves the right to update software, firmware, and features at any time.
Some features may require an active internet connection and may be modified, suspended, or discontinued without prior notice.
 

13. Limitation of liability

Zavepower is not liable for indirect, incidental, special, or consequential damages, including but not limited to loss of use, loss of data, loss of comfort, increased utility costs, or damages to property or other equipment, arising out of or in connection with the use or inability to use Spapilot, even if Zavepower has been advised of the possibility of such damages.
We are not responsible for delays or failures caused by events beyond our control (force majeure), such as natural disasters, strikes, or governmental actions.
 

14. Intellectual property

All content on this website, including logos, images, product descriptions, and trademarks, belongs to Zavepower Innovative Technology AB and is protected by intellectual property laws.
You may not reproduce, distribute, or use any content without prior written permission.
 

15. Data protection and privacy

We comply with the General Data Protection Regulation (GDPR). Your personal data will only be used to process your order, deliver services, and improve your experience.

15a. Data usage, analytics, and statistics

Zavepower collects and analyzes data on how Spapilot devices are used in order to improve our products, develop new features, and provide aggregated statistics and insights to our users and partners.
What data is collected:
  • Usage data (e.g. heating cycles, temperature settings, energy consumption, feature usage)
  • Spa device specifications (e.g. model, volume, power, hardware version)
  • General location data (e.g. country, region, city)
What is not collected:
  • No names, email addresses, home addresses, or direct personal identifiers are linked to this usage data.
How the data is used:
  • All analytics and statistics are processed in a way that ensures individual users cannot be identified.
  • Data is used to create value for the user community (e.g. energy savings benchmarks, regional insights), for product development, and to support research and reporting.
Privacy commitment:
  • Usage data is always stored and processed separately from personal account information.
  • No personally identifiable information (PII) is ever shared or published as part of analytics or statistics.
By creating an account with Zavepower or using our products and services, you acknowledge and agree to our collection and use of anonymized usage data, as described in these Terms & Conditions and our Privacy Policy.

16. Governing law and jurisdiction

These terms are governed by Swedish law. Any disputes shall be resolved in Swedish courts.
For cross-border disputes within the EU, you may use the European Commission’s Online Dispute Resolution platform:

18. Business customers (B2B) – no redistribution and limitation of claims

18.1 Scope

This Section applies where a Customer purchases Zavepower products as a business customer (B2B) and **no separate written distributor, reseller, or partner agreement** has been signed between the Customer and Zavepower.

In case of conflict between this Section and other parts of these Terms & Conditions, this Section shall prevail for business customers.

 

18.2 Purpose of purchase and no sub-distribution

Products purchased under these consumer-oriented webshop Terms & Conditions are supplied for:

– use within the Customer’s own business operations, and/or

– direct sale to end-customers only,

and are **not** intended to be used for professional distribution, wholesale, or multi-level B2B resale.

Unless expressly agreed in writing by Zavepower:

– the Customer may not act as distributor, wholesaler, importer, or master reseller of Zavepower products;

– the Customer may not resell Zavepower products to other resellers, distributors, wholesalers, or B2B entities; and

– the Customer may not establish or service its own B2B network for Zavepower products.

Any such activities require a separate written distributor or reseller agreement with Zavepower.

 

18.3 Territorial limitations for business customers

Unless otherwise agreed in writing by Zavepower, a business customer purchasing under these Terms & Conditions:

– may only sell products to end-customers located in the country where the business customer is established; and

– may not actively market, promote, or resell Zavepower products into other countries or territories as part of a B2B or distribution activity.

Export or resale of products for B2B distribution in other markets (including cross-border sales to foreign resellers or distributors) is strictly prohibited without Zavepower’s prior written consent.

Nothing in this Section is intended to restrict end-consumers’ rights under applicable EU law.

 

18.4 No stock buyback, no stock-risk sharing

Unless expressly agreed in a separate written agreement, Zavepower:

– is under no obligation to buy back, credit, or otherwise compensate the Customer for unsold, slow-moving, or aged inventory; and

– does not share in the commercial risk related to the Customer’s stock decisions, pricing strategy, or resale channels.

Any decision to purchase, stock, discount, or resell Zavepower products is made at the Customer’s own commercial risk.

 

18.5 Complaint period and limitation of claims for business customers

For business customers (B2B) purchasing under these Terms & Conditions, the following special rules apply:

– Any complaint or claim relating to defects, non-conformity, or other issues with the product must be notified to Zavepower **without undue delay** and **no later than thirty (30) days** after the defect was or should reasonably have been discovered.

– In all cases, any complaint or claim must be raised **no later than twelve (12) months** from the date of delivery of the product. After this 12-month period, the Customer loses the right to make any claim relating to the product.

These limitations do not affect mandatory rights of consumers, but they fully replace longer statutory complaint periods that might otherwise apply between businesses.

 

18.6 Consequences of breach

If a business customer breaches this Section 18, including by engaging in unauthorized B2B resale, sub-distribution, or cross-border distribution:

– Zavepower may immediately suspend or cancel current and future deliveries to that Customer;

– Zavepower may refuse any support, commercial programmes, or remedies relating to products sold in breach of this Section; and

– Zavepower reserves the right to pursue any remedies available under applicable law for losses or damages caused by such breach.

Nothing in this Section limits Zavepower’s right to enter into separate distributor or reseller agreements with selected partners on different terms.
